Terms of Service

1. Acceptance of Terms
By accessing or using the Substantive Feedback Training platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and T M STAFFORD LLs dba RU Institute ("we," "us," or "our").
2. Description of Service
The Platform provides an interactive guide for higher-education instructors to develop skills in giving substantive feedback to undergraduate and graduate students across synchronous and asynchronous courses. Features include instructional content, scenario-based exercises, AI-powered coaching conversations, and knowledge assessments.
3. Eligibility
The Platform is intended for use by higher-education instructors, faculty, teaching assistants, and staff affiliated with St. Thomas University or participating partner institutions. You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:
- Use the Platform in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any portion of the Platform
- Interfere with or disrupt the operation of the Platform or its servers
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform to transmit any malicious code, spam, or unsolicited communications
- Remove or alter any copyright, trademark, or other proprietary notices
6. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, images, software, and course materials, is the property of T M STAFFORD LLs dba RU Institute or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. The Platform was developed for St. Thomas University under agreement. All content is solely the property of the referenced owners.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended educational purposes.
7. AI Coaching and Third-Party Services
The Platform includes AI-powered coaching features provided through third-party services. These features are for educational guidance only and do not constitute professional, legal, or administrative advice. We do not guarantee the accuracy or completeness of AI-generated responses. Your use of AI features is subject to the third-party providers' terms and policies.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL T M STAFFORD LLs dba RU Institute, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.
10. Indemnification
You agree to defend, indemnify, and hold harmless T M STAFFORD LLs dba RU Institute and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Platform or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Platform will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the courts located in Miami-Dade County, Florida.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.
